• Logistics-Based Underwriting: Real-time analysis of your shipping performance to determine settlement terms
• Payment processing solutions
• Currency conversion services
• Financial analytics and reporting

User Responsibilities

As a user of our services, you agree to:

• Provide accurate, complete, and current information
• Grant Access to Logistics Data: Authorize VertexFlow to read shipping and order data from your connected platforms (e.g., Shopify, ShipStation) for underwriting purposes
• Maintain the security of your account credentials
• Comply with all applicable laws and regulations
• Use our services only for legitimate business purposes
• Not engage in fraudulent, illegal, or prohibited activities

Fees and Payment Terms

VertexFlow charges fees for its services, which are outlined in our pricing agreement. You agree to pay all applicable fees in accordance with our payment terms.

• Transaction Fees: Fees may apply to each transaction processed
• Currency Conversion: Exchange rate markup may apply
• Payment Terms: Payment is due according to the agreed billing cycle
• Late Payments: Late payments may incur interest and suspension of services

Account Security

You are responsible for maintaining the confidentiality of your account information. VertexFlow will not be liable for any loss or damage arising from your failure to protect your account credentials. Notify us immediately if you suspect unauthorized access.

Intellectual Property

All content, trademarks, logos, and intellectual property displayed on VertexFlow's website are owned by VertexFlow or its licensors. You may not reproduce, distribute, or create derivative works without our prior written consent.

Limitation of Liability

To the maximum extent permitted by law, VertexFlow shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits or revenue
• Loss of data or business interruption
• Delays in transaction processing
• Errors or omissions in our services

Our total liability to you shall not exceed the amount of fees paid by you in the six months preceding the claim.

Indemnification

You agree to indemnify and hold harmless VertexFlow, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of our services or any violation of these terms.

Compliance and Anti-Money Laundering

VertexFlow is committed to complying with all applicable laws and regulations, including anti-money laundering (AML) and counter-terrorism financing (CTF) requirements.

• We may require additional documentation to verify your identity
• Transactions may be monitored for suspicious activity
• We reserve the right to report suspicious transactions to authorities
• We may refuse or cancel transactions that violate our policies

Termination

Either party may terminate this agreement with written notice. VertexFlow may immediately suspend or terminate your account if:

• You violate these Terms & Conditions
• You engage in fraudulent or illegal activities
• Regulatory requirements mandate termination

Upon termination, all fees due to VertexFlow shall become immediately payable.

Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of the Republic of Estonia and the European Union. Any disputes shall be resolved in the courts of Tallinn, Estonia.
